Q&A: WHAT TODAY’S ANNOUNCEMENT MEANS FOR DRAFTKINGS’ CUSTOMERS

What has been announced?

Today we executed a termination agreement with FanDuel and will withdraw litigation from the Federal Trade Commission (FTC). This formally marks the end of our attempt to merge with FanDuel. We believe it is in the best interests of DraftKings, our customers, and our employees to move on from our original plans to merge, and instead, continue to put all of our energy into growing as a standalone company.

Are DraftKings and FanDuel still planning on merging at some point?

No. We prefer to continue focusing our energy on building our already strong business here at DraftKings, so that we can be of better service to our customers and partners.

Since we began planning for a possible merger, DraftKings has become the world’s leading fantasy sports company. We are recognized as a global sports entertainment brand and the industry leader in utilizing technology to bring our customers the best fantasy contests and products, and we will move forward as a separate company.

What does this mean for me as a DraftKings customer?

Business will continue as usual. DraftKings will continue to operate as an independent entity from FanDuel. Players will be able to use their funds to enter contests as they normally do and the high-quality service you are accustomed to will continue, uninterrupted.

Will this change anything for this upcoming NFL season?

This is an exciting time to be a sports fan and daily fantasy player. We are looking forward to making this football season the best one yet and will have more to share soon.

Will DraftKings still offer all of its sports and contests?

Yes. All sports and contests currently offered by DraftKings will continue to be available to play.

 Will DraftKings continue to advertise?

Advertisements for DraftKings will continue as planned. As always, we will be focused on sustaining our media relationships and advertising partnerships in order to reach new fantasy players, invest more in promotions, and drive continued growth to benefit our users.

Will there be any changes to the commission DraftKings collects from contests?

No, this development will not affect our commission rates. We know that there are other platforms players can choose, and we always assess other fantasy sports sites when we size our contests and offerings so that rates remain competitive.

How does this impact my ability to play on DraftKings?

DraftKings Brings Daily Fantasy Sports To Germany

Gives German Sports Fans New Ways to Engage with Top Sports and Athletes

Boston, Massachusetts (March 23, 2017) – DraftKings, the world’s largest daily fantasy sports company, today announced that the beta version of their platform in Germany is being opened up to all German consumers. DraftKings will deliver all 10 of the sports currently available through their U.S. product, including seven leagues of soccer, NFL, MLB, NBA, NHL, golf, NASCAR, eSports and MMA.

Germany is home to millions of season-long fantasy sports game players who play on popular platforms such as Comunio, Kicker.de and the Bundesliga Fantasy Manager. Germans’ strong sports culture and passion, especially when it comes to soccer, is a key reason why DraftKings decided to bring its games to Germany.

Malta Gaming Authority Issues Controlled Skill Games License to DraftKings;
Malta License Allows for Operation in Additional European Countries

VALLETTA, Malta, (January 30, 2017)– DraftKings, the world’s largest skill-based daily fantasy sports (DFS) platform, today announced that they have been granted a Controlled Skill Games License from the Malta Gaming Authority (MGA) which will enable the company to operate in additional European countries. This announcement follows the MGA’s recent introduction of a new regulatory regime for games of skill. Under this license DraftKings intends to begin offering DFS contests in Malta and other markets later in the first quarter of 2017.

“Malta’s intention to regulate digital skill games with a prize was first announced in December 2014 when the MGA published a consultation document. From then onwards, the MGA sought the input of various industry stakeholders and experts in order to develop a framework which facilitates the development of the sector, while ensuring adequate protection for players and fairness of the games”, said Joseph Cuschieri, Executive Chairman of the Malta Gaming Authority.

DraftKings’ announcement comes nearly a year after it began successfully operating in the United Kingdom. With more than seven million registered players worldwide, DraftKings has experienced significant growth since its 2012 inception.

DraftKings And FanDuel Agree To Strategic Merger Of Equals

Merger allows for greater investment in growth opportunities and an accelerated path to profitability

New York and Boston – Fantasy sports technology companies DraftKings and FanDuel today announced they have entered into a merger agreement. The transaction is expected to close in 2017. Financial terms were not disclosed.

The merger of FanDuel and DraftKings, which offer daily, weekly and season-long sports fantasy contests, will bring together two fantasy sports innovators to better serve consumers. The operational efficiencies and cost savings that are expected to result from the merger will drive a greater focus on developing new products and features, including more variety in contest formats, loyalty programs, enhanced social functionality and ancillary sports-oriented content and experiences, all aimed at creating a more diverse, exciting and appealing experience for fantasy sports players and all sports fans. The merger will also help the combined company accelerate its path to profitability.

The combined company will be able to invest in strategic partnerships across the sports ecosystem. Media, advertising and other partners will benefit from access to more products and customers as a result of DraftKings and FanDuel’s diverse user base and league relationships, as well as increased investment in advertising. Together, the combined entity can accelerate growth of the fantasy sports category, drive broader and deeper fan engagement, and more efficiently reach those players.

This framework will not only make it easier for the combined entity to thrive in the long-term, but will provide certainty and encourage other companies to make significant investments in the fantasy sports industry. Emerging fantasy sports categories like daily fantasy sports are just one component of a broader industry that has significant potential for sustained growth. Currently, there are 228 million fans of major sports in the U.S. and 57 million fantasy players.

At closing, DraftKings CEO Jason Robins will become CEO of the newly combined company and FanDuel CEO Nigel Eccles will become Chairman of the Board. In addition to the Chairman and CEO, the Board will be composed of three directors from DraftKings, three directors from FanDuel and one independent director.

The company will be co-headquartered in New York and Boston.

The transaction is subject to customary closing conditions and regulatory approvals.

When do changes begin taking effect?

The transaction is subject to customary closing conditions and regulatory clearance, and it is expected to close in 2017. Until then, it’s business as usual for both FanDuel and DraftKings.

Once integrated after closing, we envision this merger will create a stronger, more sustainable entity that can focus on growth, product development, delivering enhanced user experiences and creating an overall stronger fantasy sports community.

Would the combined company have the power to substantially raise prices?

No. We intend to keep our commission fees and structure competitive in order to offer consumers a compelling experience. The merger will not affect our obvious incentive to continue growing the DFS space through guaranteed prize pools and attractive commission levels. Users play on our platforms because they love the contest structures and optionality. We size our contests and offerings to be competitive with other fantasy companies. We know that there are other platforms players could go on if we tried to raise commissions. This remains equally true whether the companies remain independent or combine.

As always, DraftKings and FanDuel will clearly provide information on commission costs and technical differences. Further operational and organizational details will be finalized and announced after closing.

Does this deal impact the partnerships in place with the existing sports franchises / networks?

We do not anticipate any impact on our existing partnerships.

Starting today, the new product update from DraftKings, one of the world’s leading Daily Fantasy Sports platforms, allows players to start a league just for their friends and create fully-customizable, private contests. With 10 sports to choose from, DraftKings Leagues has the largest variety of Daily Fantasy Sports contests, allowing players to compete in baseball, basketball, NFL, CFL, hockey, golf, NASCAR, MMA, soccer and eSports—all with friends from the same league.
